Terms of Service

These Terms of Service ("Terms") govern your access to and use of urbanize.dev, the LIHTC Assembly software suite, and any related services (collectively, the "Services") provided by Urbanize, Inc. ("Urbanize," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

Urbanize provides real estate intelligence, site selection, GIS, and analytics services, including the LIHTC Assembly software suite for affordable housing development workflows. We may modify, suspend, or discontinue any part of the Services at any time without prior notice.

You may need to create an account to use certain features. You agree to provide accurate information, keep your credentials secure, and accept responsibility for all activity under your account. You must notify us promptly of any unauthorized use or security breach.

You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Reverse engineer, decompile, or attempt to extract the source code of the Services.
• Interfere with, disrupt, or overload the Services or related infrastructure.
• Use automated means (scrapers, bots) to access or collect data without our express written permission.
• Upload malware, infringing content, or material that violates third-party rights.
• Resell, sublicense, or commercially exploit the Services without authorization.
• Use the Services, or any email-sending functionality made available through the Services, to send unsolicited bulk or commercial email ("spam"), or to send any email in violation of the CAN-SPAM Act, the CASL, the GDPR, or any other applicable anti-spam or data protection law.
• Send email through or in connection with the Services to recipients who have not provided appropriate consent to be contacted, or to purchased, rented, scraped, or otherwise third-party-acquired contact lists.
• Send email that uses false, deceptive, or misleading header information, subject lines, or sender identities, or that omits a functioning unsubscribe mechanism and a valid physical postal address where required by law.
• Fail to promptly honor recipient opt-out or unsubscribe requests.

You retain all rights to data, projects, and information you submit to the Services ("Customer Data"). You grant Urbanize a limited, worldwide, non-exclusive license to host, process, and display Customer Data solely to provide, maintain, and improve the Services. You represent and warrant that you have all necessary rights and consents to provide the Customer Data to us, including, where applicable, all consents necessary to contact any individuals whose contact information is included in the Customer Data.

Our Property: The Services, including all software, content, branding, geospatial workflows, and underlying technology, are owned by Urbanize or its licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Feedback: If you provide us with ideas, suggestions, or feedback regarding the Services, you grant us a perpetual, irrevocable, royalty-free right to use and incorporate such feedback into our Services without restriction or compensation to you.

Paid features of the Services are billed according to the plan or consulting agreement you select. Fees are non-refundable except as required by law or as expressly stated in a separate agreement. You authorize us to charge your chosen payment method for all applicable fees.

The Services may incorporate data and tools from third parties (e.g., mapping, parcel, demographic, and market data). We do not guarantee the accuracy, completeness, timeliness, or availability of third-party data. Your use of third-party services or reliance on third-party data is at your own risk and subject to their respective terms.

Information provided through the Services—including site selection, feasibility, market analytics, and LIHTC scoring analyses—is for informational purposes only and does not constitute legal, financial, tax, investment, or professional advice. You are solely responsible for all real estate and financial decisions you make based on the Services and should consult qualified professionals before making any binding commitments.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. URBANIZE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, URBANIZE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. URBANIZE'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU TO URBANIZE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Urbanize, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your Customer Data, your violation of these Terms, or your infringement of any third-party rights.

Urbanize shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, extreme weather, governmental actions, labor disputes, or widespread internet, electrical, or third-party infrastructure outages.

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including a violation of these Terms. Upon termination, your right to use the Services ceases immediately, and any provisions of these Terms that by their nature should survive termination shall survive.

These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict of laws principles. You agree to the exclusive personal jurisdiction and venue of the state and federal courts located in Bexar County, Texas, for any dispute arising out of or relating to these Terms or the Services.

We may update these Terms from time to time. Material changes will be posted on this page with an updated Effective Date. Continued use of the Services after any changes constitutes your binding acceptance of the updated Terms.
